OPEN INTERNET BUSINESS SERVICES AGREEMENT

These Open Internet Business Services Terms (“Terms”) govern the managed connectivity services, equipment, support, software, and related features provided by Capsule Labs LLC d/b/a Open Internet (“Open Internet,” “we,” “us,” or “our”).
1. Acceptance of Terms
By placing an order, checking a box indicating acceptance, accepting delivery of Equipment, activating, using, allowing others to use, or paying for any Service, Customer agrees to these Terms.
“Customer,” “you,” and “your” mean the business entity purchasing or using the Service. The person placing an order, accepting these Terms, managing the account, or making payment represents that they are authorized to bind Customer.
If Customer does not agree to these Terms, Customer must not order, activate, use, or pay for the Service.
2. Service
Open Internet provides a bundled managed business connectivity product that may include configured networking equipment, router-based security and filtering, remote device management, technical support, monitoring, and embedded connectivity (collectively, the “Service”).
The Service is sold as one Open Internet product. It is not sold as a standalone wireless, mobile-data, or consumer internet plan. Any underlying network connectivity is included only as part of the Service and is not separately priced or sold to Customer.
The online checkout page, accepted quote, invoice, account record, email confirmation, or activation notice for a Service is an “Order.” An Order may identify the Service Location, Equipment, fees, billing cycle, and service-specific terms. If an Order conflicts with these Terms, the Order controls only as to the listed Service, Equipment, price, and Service Location.
3. Business Use and Service Location
Customer represents that it is purchasing the Service solely for lawful commercial use.
Customer may use the Service only at the commercial address approved by Open Internet and listed in the applicable Order (“Service Location”). Customer must obtain Open Internet’s prior written approval before moving the Equipment or changing the Service Location.
Customer may use the Service for ordinary internal business operations, including business productivity, point-of-sale, payment-terminal, and similar enterprise applications.
Customer is responsible for all use of the Service by its employees, contractors, agents, guests, and other users.
4. Prohibited Uses
Customer may not, and may not allow any person to:

Use the Service for residential, household, personal, or consumer purposes.

Resell, sublicense, assign, redistribute, share for compensation, or provide the Service to another business, tenant, reseller, dealer, franchisee, or third party.

Separately advertise, invoice, charge for, or represent the underlying connectivity component of the Service.

Offer public, guest, visitor, community, tenant, or shared Wi-Fi access without Open Internet’s prior written approval.

Use the Service for web hosting, server hosting, data-center operations, cloud-hosting services, or similar hosting activity.

Use the Service for continuously streaming video, video distribution, or persistent bandwidth-intensive activity inconsistent with ordinary business use.

Use carrier-provided voice, text, multimedia messaging, or similar carrier services through the Service.

Remove, alter, bypass, disable, unlock, interfere with, or attempt to evade router security settings, filtering, firmware, SIMs, remote-management tools, device identifiers, or usage-management controls.

Use the Service for illegal, fraudulent, abusive, harassing, infringing, threatening, deceptive, or network-disruptive activity.

Use the Service for life-support, emergency response, medical monitoring, safety-critical systems, or any purpose where service interruption could cause death, bodily injury, property damage, or environmental harm.
Open Internet may approve certain otherwise restricted uses in writing. Any approval may include technical, security, content-filtering, location, or usage conditions.
5. Equipment
Unless Open Internet expressly sells Equipment to Customer in writing, all routers, SIMs, accessories, power supplies, and other hardware provided by Open Internet remain Open Internet’s property (“Equipment”).
Customer will:

Keep Equipment secure, in good condition, and at the approved Service Location.

Use Equipment only with the Service.

Not open, modify, reverse engineer, relocate, sell, lease, transfer, or use Equipment with another provider.

Protect administrator passwords and access credentials.

Promptly notify Open Internet of loss, theft, damage, suspected compromise, or unauthorized use.

Permit Open Internet to remotely configure, update, secure, diagnose, manage, restrict, or disable Equipment when reasonably necessary to provide or protect the Service.
Customer is responsible for loss of or damage to Equipment beyond normal wear and tear.
6. Data Usage, Availability, and Network Management
Any reference to “unlimited data” means that the Service does not include a fixed monthly data allowance. It does not mean unlimited speed, priority, coverage, availability, or permitted uses.
Service performance may vary based on Service Location, coverage, signal, Equipment, network conditions, congestion, maintenance, weather, interference, and other factors. Open Internet does not guarantee a particular speed, latency, capacity, signal level, uptime, or compatibility with Customer’s applications.
Data traffic may be deprioritized during network congestion.
If a Service line exceeds 1.2 TB of domestic data usage in a billing cycle, Open Internet may reduce speeds on that line to up to 3 Mbps for the remainder of that billing cycle. If a line exceeds 1.2 TB in three consecutive billing cycles, Open Internet may require a plan change, impose additional restrictions, suspend Service, or terminate the affected Service line.
Open Internet may monitor Service usage and take reasonable actions to protect Equipment, upstream networks, Service availability, and other customers.
7. Fees, Billing, and Payment
Customer will pay the fees shown in the applicable Order, checkout page, quote, or invoice. Monthly Service fees are billed in advance unless stated otherwise.
By providing a payment method, Customer authorizes Open Internet to charge all recurring Service fees, applicable taxes, shipping charges, replacement fees, late charges, and other amounts due.
Customer is responsible for all taxes, assessments, governmental charges, and fees associated with the Service, except taxes based on Open Internet’s net income.
Payments are due on the date shown on the invoice or payment request. Amounts not paid when due may incur a late charge equal to the lesser of 1.5% per month or the maximum amount allowed by law.
Customer must notify Open Internet in writing of a good-faith billing dispute within 30 days after the invoice date. Customer must timely pay all undisputed amounts.
Open Internet may suspend or terminate Service for unpaid amounts, failed payment methods, chargebacks, or payment disputes not made in good faith. Customer is responsible for reasonable collection costs, including attorneys’ fees, incurred to collect overdue amounts.
8. Term, Cancellation, Suspension, and Termination
The Service begins when Equipment is delivered, activated, or made available to Customer, whichever occurs first, and continues month-to-month unless an Order states otherwise.
Customer may cancel a Service by giving Open Internet at least 30 days’ written notice. Cancellation is effective at the end of the applicable notice period or billing cycle, whichever is later. Customer remains responsible for all charges through the effective cancellation date.
Open Internet may suspend, limit, reconfigure, or terminate Service immediately if Customer:

Breaches these Terms or an Order;

Fails to pay amounts due;

Uses the Service outside the approved Service Location;

Uses the Service for a prohibited purpose;

Causes or risks fraud, security issues, network harm, legal exposure, or operational disruption;

Provides false or incomplete account, business, payment, or location information; or
-
Is subject to an upstream-provider, legal, regulatory, network, or security requirement requiring Open Internet to act.
Open Internet may also terminate Service for convenience on 30 days’ notice.
Suspension or termination does not waive Customer’s obligation to pay amounts accrued before the effective date of suspension or termination.
9. Equipment Return and Non-Return Fees
Upon cancellation, suspension, or termination, Customer must immediately stop using the Service, disconnect Equipment from power, and return all Equipment within 14 days using Open Internet’s instructions.
Unless an Order states otherwise, Customer will pay a non-return or replacement fee of $300 per router, plus the actual replacement cost of missing or damaged power supplies, cables, SIMs, accessories, or other Equipment.
Customer remains responsible for charges, losses, and damages caused by continued use of Equipment after Service ends or Equipment continuing to attempt to access the network after termination.
10. Support and Underlying Providers
Open Internet is Customer’s sole point of contact for billing, technical support, Equipment, troubleshooting, and Service questions.
Open Internet may use third-party connectivity, software, equipment, cloud, and network providers to deliver the Service. Customer has no direct contractual relationship with any underlying provider through these Terms, and underlying providers have no duty to provide support directly to Customer.
11. No Warranties
THE SERVICE AND EQUIPMENT ARE PROVIDED “AS AVAILABLE” AND “AS IS,” EXCEPT WHERE EXPRESSLY STATED OTHERWISE IN WRITING.
OPEN INTERNET DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE, OR COMPATIBLE WITH CUSTOMER’S SYSTEMS, APPLICATIONS, DEVICES, OR BUSINESS OPERATIONS.
CUSTOMER IS RESPONSIBLE FOR ITS OWN BACKUPS, REDUNDANCY, DATA PROTECTION, SECURITY, AND BUSINESS-CONTINUITY PLANNING.
THE SERVICE IS NOT A SUBSTITUTE FOR 911, E911, OR ANY OTHER EMERGENCY COMMUNICATIONS SERVICE. CUSTOMER MUST NOT RELY ON THE SERVICE FOR EMERGENCY, LIFE-SAFETY, OR CRITICAL COMMUNICATIONS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPEN INTERNET WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES.
OPEN INTERNET’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE, EQUIPMENT, OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER FOR THE AFFECTED SERVICE DURING THE THREE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not limit Customer’s payment obligations or Customer’s responsibility for misuse, loss, damage, or unauthorized use of Equipment or Service.
13. Customer Indemnity
Customer will defend, indemnify, and hold harmless Open Internet and its owners, employees, contractors, affiliates, suppliers, and service providers from third-party claims, damages, losses, liabilities, penalties, costs, and reasonable attorneys’ fees arising from:

Customer’s or its users’ breach of these Terms;

Customer’s use of the Service or Equipment;

Customer’s data, content, systems, network, users, or business operations;
-
unlawful, fraudulent, prohibited, or unauthorized use of the Service; or
-
loss of or damage to Equipment.
This obligation does not apply to the extent a claim is caused solely by Open Internet’s gross negligence or willful misconduct.
14. Privacy and Customer Data
Customer is responsible for obtaining all notices, permissions, and consents required for Customer’s use of the Service and for its users’ access to Customer’s network.
Open Internet may collect and use account information, payment information, Service Location information, device identifiers, support records, and usage information as reasonably necessary to provide, secure, maintain, bill for, support, and improve the Service.
Open Internet’s handling of personal information is also governed by its Privacy Policy, available at [INSERT PRIVACY POLICY URL].
15. Changes to Terms, Services, and Pricing
Open Internet may update these Terms from time to time. The current version will be posted at [INSERT TERMS URL] with a revised “Last Updated” date.
For material changes to Customer’s rights, obligations, pricing, or permitted use, Open Internet will provide at least 30 days’ notice by email, customer portal notice, invoice notice, or website notice.
Open Internet may make changes effective sooner when reasonably necessary due to an upstream-provider requirement, legal or regulatory requirement, fraud, security issue, network change, equipment availability issue, or to prevent harm to the Service, Equipment, network, or other customers.
Customer’s continued use of the Service or payment for the Service after updated Terms become effective constitutes acceptance of the updated Terms. If Customer does not agree to updated Terms, Customer must cancel the affected Service before the effective date of the change.
Open Internet may change Service features, Equipment, rates, or availability with at least 30 days’ notice, except when a faster change is reasonably necessary for the reasons described above.
16. General Terms
These Terms and all applicable Orders are the entire agreement between Customer and Open Internet regarding the Service and replace prior discussions, proposals, or agreements relating to the Service.
Customer may not assign, transfer, or delegate these Terms or the Service without Open Internet’s written consent.
Open Internet may assign these Terms to an affiliate, successor, purchaser, or acquirer of substantially all relevant assets.
Customer and Open Internet are independent contractors. These Terms do not create a partnership, agency, franchise, fiduciary relationship, or joint venture.
Open Internet is not responsible for delay or failure caused by events beyond its reasonable control, including network outages, upstream-provider actions, equipment shortages, power outages, natural disasters, acts of government, labor disputes, cyberattacks, war, terrorism, or other force majeure events.
Texas law governs these Terms, without regard to conflict-of-law principles. Exclusive venue for any dispute will be the state or federal courts located in Travis County, Texas.
If any provision is unenforceable, the remaining provisions remain in effect. Open Internet’s failure to enforce a provision is not a waiver of that provision.
